Service Agreement for SEO Services

Scope of Work

Provider agrees to provide search engine optimisation (SEO) services as outlined in the project proposal and any subsequent amendments agreed upon by both parties. The scope of work may include, but is not limited to, the following:

  • Keyword research and analysis
  • On-page optimisation
  • Off-page optimisation
  • Content creation and optimisation
  • Link building
  • Technical SEO
  • Analytics and reporting
Project Timeline

Provider will make reasonable efforts to complete the SEO services within the agreed-upon timeline. However, achieving specific SEO goals and rankings can vary based on various factors, including competition and search engine algorithms. Provider will provide regular progress reports to the Client to keep them informed of the project's status.

Payment Terms

Client agrees to pay Provider the recurring project cost. The payment will be made on a monthly recurring basis. Any additional changes or modifications requested by the Client once the project commences will be subject to an additional charge, as outlined in Section 4.

Approval Process

a. Upon receipt of the content for review, the Client may:
i. Approve the content as is, allowing the Service Provider to proceed with publication and optimisation. If we don’t hear back for over a week, we will take it as an approval.
ii. Request modifications, specifying the required changes in detail. The Service Provider shall make the requested revisions and resubmit the content for approval.
iii. Reject the content with reasons, prompting a revision or redrafting process agreed upon by both parties.
b. The Service Provider shall make up to two rounds of revisions based on the Client’s feedback. Further rounds of revisions may incur additional fees, as outlined in the compensation section of this agreement.

Additional Changes and Ongoing SEO Services

Any additional changes or modifications requested by the Client will be considered separate from the initial project scope. Provider offers ongoing SEO services for continued optimisation and maintenance. The details and pricing of the ongoing SEO services can be found on our website or provided upon request.

Reporting and Analytics

Provider will provide monthly reports to the Client, detailing the progress and results of the SEO efforts. These reports may include, but are not limited to, keyword rankings, website traffic, and other relevant metrics.

Customer Service

Client may ask questions related to their SEO. Any update is provided on a monthly basis as outlined above. The Account Manager may provide an accomplishment report during the week at their discretion.

Premium Support

We value our clients/partners and strive to provide them with the best service possible. In order to maintain the highest level of support and ensure that all clients receive timely assistance, we have introduced a premium support package. If we notice that a client requires daily support or frequent assistance beyond the scope of our standard support/project management process, we will offer our premium support package. This package includes faster response times, dedicated account manager, priority handling of requests, escalation management, and regular updates & communication. By charging for premium support, we can allocate additional resources to cater to the specific needs of our clients, ensuring that they receive exceptional service and prompt resolution of their queries or issues. We appreciate your understanding and cooperation in our efforts to provide you with the best possible support experience.

Confidentiality

Both parties agree to keep any confidential information shared during the course of the project confidential. This includes, but is not limited to, proprietary business information, trade secrets, and client data.

Termination

Either party may terminate this Agreement with written notice if the other party breaches any material provision of this Agreement. In such cases, any outstanding payments will be due immediately.

Cancellation and Proforma Billing Clause

a. Cancellation Policy: The Client may cancel their subscription to the services provided under this Agreement by providing a written notice of cancellation to the Provider. The Client agrees to give a notice period of one (1) month prior to the desired termination date of the services.

b. Proforma Billing: The Provider operates on a proforma billing basis. As such, services are billed in advance of the service period. In the event of cancellation by the Client, the Provider will issue a final proforma invoice that will cover any outstanding service period up to the end of the notice period.

c. Refunds and Adjustments: Upon cancellation, any services that have been paid for but not rendered due to the notice period will be eligible for a prorated refund or credit. The Provider will calculate any such refunds or credits based on the unused portion of the services and issue them to the Client within a reasonable timeframe.

d. Early Termination Fee: If the Client terminates this Agreement before the end of the agreed service period, and with less than the required notice period, the Client may be subject to an early termination fee. This fee will be detailed in the project proposal or as outlined in the payment terms of this Agreement. Additionally, if the Client cancels the contract for a 3, 6, or 12-month period, the Client shall be liable for payment of the remaining balance due for the entire initial agreed period.

e. Final Services: During the notice period, the Provider will continue to deliver services to the Client as per the terms of this Agreement. The Client is responsible for all charges incurred until the end of the notice period.

f. Effect of Cancellation: Upon the effective date of cancellation, the Provider will cease providing the services and all rights and obligations of both parties under this Agreement will terminate, except for any rights and obligations that by their nature extend beyond the expiration or termination of this Agreement, including but not limited to, payment obligations, confidentiality, and indemnification.

End-of-Termination Billing Clause

Upon termination of this Agreement by either party, the Client will be responsible for the payment of all services rendered up until the effective termination date. If the Client terminates this Agreement during an ongoing billing period, the Client will be charged a pro-rated amount for the services provided during that final billing cycle, up to and including the last day of the notice period as outlined in the Cancellation Policy of this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising out of or relating to this Agreement shall be resolved through negotiation between the parties.

Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter herein.

Service Agreement for Email Marketing

Services Provided

The Provider agrees to provide email marketing services to the Client as outlined in the attached proposal or statement of work (SOW). The services may include but are not limited to:

  • Design and creation of email templates
  • Email campaign management
  • List segmentation and management
  • A/B testing and optimisation
  • Performance tracking and reporting
Term

This Agreement shall commence on … and shall continue until terminated by either party with one month written notice.

Fees and Payment Terms

The Client agrees to pay the Provider the fees as specified in the attached proposal or Scope of Work (SOW). Payment terms, including due dates and accepted methods of payment, shall be outlined in the proposal or invoice.

Client Responsibilities

The Client agrees to provide the Provider with all necessary materials, content, and information required for the email marketing campaigns. The Client shall ensure that all provided materials comply with applicable laws and regulations, including but not limited to data protection and privacy laws.

Confidentiality

Both parties agree to keep all non-public information obtained during the course of this Agreement confidential. This includes but is not limited to customer lists, email content, and performance metrics.

Intellectual Property

Any intellectual property rights associated with the email marketing materials created by the Provider shall remain the property of the Provider unless otherwise agreed upon in writing.

Limitation of Liability

The Provider shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with this Agreement, including but not limited to loss of profits, revenue, or data.

Termination

Either party may terminate this Agreement by providing written notice to the other party. Upon termination, the Client shall pay for all services rendered up to the effective date of termination.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising out of or in connection with this Agreement shall be resolved through negotiation and, if necessary, through arbitration.

Entire Agreement

This Agreement constitutes the entire understanding between the Provider and the Client and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter herein.

Service Agreement for Web Design and Development Projects

Scope of Work

Provider agrees to provide web design and development services as outlined in the project proposal and any subsequent amendments agreed upon by both parties. The scope of work may include, but is not limited to, the following:

  • Website design and layout
  • Website development and coding
  • Content creation and integration
  • Graphic design and branding
  • Search engine optimisation (SEO)
  • Website testing and quality assurance
Project Timeline

Provider will make reasonable efforts to complete the project within the agreed-upon timeline. However, delays may occur due to unforeseen circumstances or changes requested by the Client. In such cases, both parties will work together to adjust the project timeline as necessary.

Payment Terms

Client agrees to pay Provider the total project cost as outlined in the project proposal. The payment will be made upfront before work commences. This is because HostHelp operates a transparent process where all logins and IP addresses belong to the customer, and we do not prohibit any access.

Additional Changes and Website Maintenance

Once the project is completed and handed over to the Client, any additional changes or modifications requested by the Client will be considered separate from the initial project scope. Provider offers a website maintenance package for ongoing support and updates. The details and pricing of the website maintenance package can be provided upon request.

Premium Support

Intellectual Property

Upon project completion, Provider assigns all intellectual property rights to the Client. The Client will have full ownership and control over the website design, content, and any other deliverables specified in the project proposal.

Confidentiality

Both parties agree to keep any confidential information shared during the course of the project confidential. This includes, but is not limited to, proprietary business information, trade secrets, and client data.

Termination

Either party may terminate this Agreement with written notice if the other party breaches any material provision of this Agreement. In such cases, any outstanding payments will be due immediately.

Refund Policy

Please note that once work has commenced, all fees paid for services rendered are non-refundable. This includes but is not limited to fees for design, development, consultation, and maintenance services. By engaging our services, the client acknowledges and agrees that refunds will not be issued for any reason once work has begun. This policy is in place to ensure fairness and to cover the costs associated with initiating and performing the agreed-upon services.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England. Any disputes arising out of or relating to this Agreement shall be resolved through negotiation between the parties. If negotiation fails, the dispute shall be submitted to mediation or arbitration.

Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter herein.

Service Level Agreement for Web Hosting

Introduction

This SLA defines the service expectations between HostHelp.net ("Provider") and the Client ("Client") for our web hosting services.

Scope of Agreement

This agreement applies to all web hosting services provided by HostHelp.net.

Service Availability

Uptime Guarantee: HostHelp.net guarantees a 99.9% annual uptime, excluding scheduled maintenance and force majeure events.

Network Performance: Network availability is assured at 99.9% monthly uptime.

Automatic Service Upgrade Notification: When system monitoring detects resource usage at 80% capacity, HostHelp.net will initiate an automatic upgrade process to the next service tier to maintain optimal performance and availability. Clients will receive notifications outlining the upgrade details and any associated fee adjustments, effective in the next billing cycle.

Maintenance and Support

Scheduled Maintenance: Clients will be informed 48 hours in advance, with maintenance during off-peak hours.

Emergency Maintenance: Performed as needed to ensure integrity and security.

Support: 24/7 technical support is provided.

Performance Metrics and Compensation

Latency: Commitment to low latency and optimal performance.

Data Backup: Daily backups with restoration available in the control panel.

Client Responsibilities

Accurate data, security measures, and compliance with laws and terms of service.

Exclusions and Termination

Exclusions include factors outside HostHelp.net's control.

Termination by either party with a 30-day notice or immediate if compliance fails.

Amendments and Governing Law

Governed by the laws of the jurisdiction where HostHelp.net operates.
